Hong Kong Corporate Secretarial Services

There are no restrictions on the use of foreigners as shareholders or directors at a Hong Kong company but, under the Hong Kong Companies Ordinance, an entity must appoint a company secretary who is a resident in Hong Kong. The company must also keep its statutory books together with the minute book at its registered office. Breaches of the Hong Kong Companies Ordinance will expose the relevant entities to prosecution and punishment.

A company secretary is required to ensure that the company complies with all standard financial and legal requirements in Hong Kong, which includes the filing of annual returns, renewing the Business Registration Certificate, reporting corporate changes to the Companies Registry, preparing annual general meetings of shareholders, etc.
