Malaysia Corporate Secretarial Services
A company in Malaysia has 30 days from its incorporation to appoint a natural person who is a citizen or permanent resident in Malaysia as company secretary. This person must be a member of a professional body prescribed by the Companies Act 2016 (CA 2016) or hold an individual license issued by the Companies Commission of Malaysia. The company secretary must also register with the Registrar of Companies (ROC).
A company regulated by the CA 2016 is also required to notify the ROC of changes to its particulars within an established timeframe, 14 days if there is a change in registered office, directors or nature of business, 5 days if there is a change in substantial shareholding, etc. Companies in breach of their statutory obligations can face heavy fines and prosecution.
Every company is required to maintain statutory records and registers in compliance with the CA 2016, including a register of option holders, register of members, register of directors, managers and secretaries, etc.
